NO, This key has to be used only at the time of installation. If not, your copy will become trail version.
Second CD is required ?
Yes, second CD is mandatory, it will ask at the end of installation. Installation will be finished with Second CD.
Can I update OS after installing with this copy?
I'm not sure. But, I recommend NOT to update

I've tested it my self, This key is working 100% and it is x64 version
Note : Long back I do have a challenge with my friend to activate trail version of Server 2003 x64. I have searched a lot for a activator which can activate Server 2003 x64 to full version. But Failed to find one. Not only the activator, I did't even find a working version of Server 2003 x64.
Finally I got this version with key. I have tested it and its working fine... If you install this copy with the given SERIAL (README.TXT) it will not expire (100% Sure). But I'm NOT sure about updates as I never took a risk to do so. I never shared this version any where
